Below is a petition to allow NSP members to vote to amend the Articles
of Incorporation. NSP is a Colorado Non-Profit Corporation. The
new Colorado Non-Profit Statute gives broad authority to the Board
of Directors of Non-Profit Corporations to amend or change Bylaws.
The new Non-Profit Statute does not automatically give members rights.
Members may however seek rights through the use of a petition process.
In this way, members may decide how involved they want to be in
their organization and can amend the Articles of Incorporation.
If 10% or more of the active members support a petition, the NSP
will have a member vote on the proposed amendments. This petition
creates a member vote in the Fall of 2005 on changes proposed below.
Reply to the petition is encouraged so all members can vote on these
amendments.

PETITION
To allow a NSP Member Vote on
The Following Amendments to the Articles of Incorporation
In accordance with CRS 7-130-103
Nomination Process Add to Article V
To enhance communication among Division Directors and provide maximum
access for working patrollers, the Division Directors will be the
nominating committee for Board of Director vacancies in a manner
provided for in the Bylaws. There will be more nominees than there
are positions to fill to allow members a choice.
Election Process Add to Article V
Election will be by member direct vote on ballots delivered to
each active member in a manner provided for in the Bylaws. The nominees
receiving the most votes will fill the available vacancies. There
is no minimum quorum for member voting.
Term of Office Add to Article VI
Six (6) years total term limit for members on the National Board
including the time as Chairman.
Member Rights Add to Article IV
The Board of Directors may not change quorum requirements, nomination
process, election process, or term of office without a vote of the
members.
If these amendments are adopted by a member vote in the Fall 2005,
the Board of Directors will change the Bylaws to be consistent with
these new Articles of Incorporation. Currently the only provision
for member voting is Bylaw paragraph 3.10(a), so voting will be
consistent with that paragraph unless directed otherwise by Statute/Court
and will occur no later that December 15, 2005.
